Ropes & Gray antitrust counsel Deidre Johnson and associate Simone Waterbury wrote “HSR Rule Changes: A Look Back (and Ahead)” for the May issue of the Competition Policy International Antitrust Chronicle. The article analyzes the impact that the August 2011 overhaul of the Hart-Scott-Rodino Act premerger rules has had on filers. The authors examine the “positive and negative aspects of the rule-making attempt to balance the burden on clients with the FTC’s articulated goal of requiring additional ‘helpful information’ upfront in order to aid the federal antitrust authorities in clearing transactions more efficiently.”
