Esteban De La Torre joined Ropes & Gray’s corporate department in 2022. Esteban represents clients in a variety of transactions involving intellectual property and technology, including licensing and collaborations, mergers and acquisitions, and other strategic commercial transactions.

During law school, Esteban served as executive senior editor for the Southern California Interdisciplinary Law Journal. Additionally, he worked as a judicial intern for the Honorable John A. Kronstadt of the U.S. District Court for the Central District of California and as a law clerk for the U.S. Attorney’s Office of the Southern District of California.

Mergers, Acquisitions and Investments

  • Represented Becton, Dickinson and Company, BD, in a definitive agreement to acquire Edwards Lifesciences' Critical Care product group, a leader in advanced hemodynamic monitoring solutions, for $4.2 billion in cash.
  • Represented Charlesbank Capital Partners LLC in the acquisition of EverDriven Technologies, a leading technology-driven platform for safe and reliable student transportation.
  • Represented Sixth Street Partners-backed Legends in connection with its acquisition of ASM Global, a venue management company and producer of live event experiences.
  • Advised Kohlberg & Company, LLC in its partnership with Engage PEO, a professional employer organization providing HR outsourcing solutions to small and mid-sized businesses across the U.S.
  • Represented TSG Consumer Partners in its investment in Trinity Solar, a provider of renewable energy solutions including residential solar, battery storage and energy services.
  • Represented Crosspoint Capital Partners in its US$870 million acquisition of Absolute Software Corporation, a leading provider of endpoint and zero-trust cybersecurity products and services.

Licensing and Collaborations

  • Advised Xeris Biopharma Holdings in an exclusive worldwide collaboration and license agreement with Beta Bionics for the development and commercialization of a glucagon product using Xeris’ XeriSol technology for use in Beta Bionics’ proprietary bi-hormonal pump and pump systems for people with diabetes.
  • Represented Recursion Pharmaceuticals in its collaboration with Enamine, a Kyiv, Ukraine-based provider of novel molecules, to generate enriched screening libraries by utilizing Recursion's machine learning enabled platform for predicting protein-ligand interactions, MatchMaker, to Enamine's library of approximately 36 billion compounds.
