Walton is counsel in the mergers and acquisitions group of Ropes & Gray, where he advises public and private companies and sponsors on a wide range of transactions in life sciences, technology, and other industries, including mergers, acquisitions and divestitures, joint ventures and partnerships, minority investments, equity capital raises and investments and venture and growth equity financings.

Life Sciences, Digital Health and Medical Device Transactions

  • Represented Gilead Sciences, Inc. in numerous transactions, including:
    • its $1.74 billion exclusive option to acquire Pionyr Immunotherapeutics Inc. (“Pionyr”), a clinical stage immune-oncology therapeutics company, consisting of the acquisition by Gilead of a 49.9% equity interest in Pionyr for $275 million, an option for Gilead to acquire the remaining equity interests of Pionyr for $315 million, and up to $1.15 billion of potential future milestone payments to Pionyr equityholders.
    • its $1.55 billion exclusive option to acquire Tizona Therapeutics, Inc. (“Tizona”), a clinical stage immuno-therapeutics company focused on the treatment of cancer and autoimmune diseases, consisting of the acquisition by Gilead of a 49.9% equity interest in Tizona for $300 million, and an option for Gilead to acquire the remaining equity interests of Tizona for up to $1.25 billion of additional consideration and future milestone payments to Tizona equityholders.
  • Represented TPG in the $2 billion cash sale of Immucor, a leading provider of transfusion and transplantation diagnostic products, to Werfen, a global specialized diagnostics provider. 
  • Represented Asklepios Biopharmaceutical Inc. (“AskBio”), an industry leading AAV-based gene therapy platform, in its $4 billion cash sale to Bayer, including $2 billion in up-front payments to former AskBio equityholders and an additional $2 billion of contingent future milestone payments. 
  • Represented Ensemble Health Partners, a tech driven revenue cycle management company that helps healthcare providers optimize their revenue cycles, in its sale of a majority equity stake to a consortium of private equity sponsors.
  • Represented Patient Square Capital, a dedicated healthcare investment firm, in its going private transaction with Eargo, Inc. a formerly Nasdaq listed (symbol: EAR) medical device company committed to improving hearing health.

Technology Transactions

  • Represented Silver Lake Partners in its initial and subsequent investments in Waymo, an autonomous car technology company, previously wholly owned by Alphabet, Google’s parent company.
  • Represented GI Partners in its $450 million acquisition of formerly Nasdaq listed GTY Technology Holdings Inc. (symbol: GTYH), a leading cloud-based technology solutions provider for the public sector. 
  • Represented Qorvo, Inc., a leading radio frequency semiconductor company, in its acquisition of Decawave Limited, a pioneer in ultra-wideband technology and provider of UWB solutions for mobile, automotive and IoT applications, in a transaction named “Deal of the Year” by The Irish Times, representing one of the largest exits by an Irish technology company at the time. 
  • Represented Silver Lake Partners in its Series C investment in Vacasa, an international vacation rental management company, and subsequent provision of emergency pandemic financing to Vacasa. 
  • Represented Advanced Circuits Inc., a leading quick-turn PCB manufacturer, in $200 million cash sale to APCT, Inc., another leading PCB manufacturer. 
  • Represented Daxko, a software company providing revenue cycle management and other services to non-profits, including YMCAs, Jewish Community Centers, Boys and Girls Clubs and other recreation centers, in its recapitalization and significant investment from Genstar.

  • Represented Alera Group, Inc., an independent national insurance and financial services company, in its multi-billion dollar stock for stock merger with Propel Insurance Agency, a leader of innovative insurance solutions.
  • Represented GI Partners in its $1.05 billion all-cash acquisition of formerly Nasdaq listed Atlas Technical Consultants (symbol: ATCX), a leading provider of infrastructure and environmental solutions.
