Areas of Practice

Christopher Han is counsel in the intellectual property transactions group. Chris advises clients in IP and technology issues related to strategic transactions, including mergers & acquisitions, technology licensing and transfer, technology service agreements, R&D collaborations, joint ventures, supply agreements, and other strategic and commercial relationships. Chris has experience advising both public and private companies in many different industries, including software and computer science, computer networks and data security, Internet and media applications, food and entertainment, shipping and logistics, energy storage, medical devices, biotechnology, pharmaceutical, aerospace, and the automotive industry.

In addition to his transactional practice, Chris also provides clients with strategic advice regarding the creation and management of intellectual property assets. Chris is a registered patent attorney with the United States Patent and Trademark Office and has extensive experience assisting clients with prosecuting patent applications, managing patent portfolios, developing IP strategies, and performing patent validity, infringement, and freedom-to-operate analyses for a wide range of technologies.

Prior to joining Ropes & Gray, Christopher received his B.S. and S.M. degrees in Aero/Astronautical Engineering from MIT. Chris performed his graduate work at Draper Laboratory, where he developed real-time software and embedded systems for controlling a prototype vehicle for planetary exploration.

Experience

Mergers, Acquisitions, and Strategic Partnerships

  • Sodiaal, France's leading dairy cooperative and owner of the Yoplait yogurt brand, as IP transactions counsel and US M&A counsel in an agreement to acquire General Mills' Canadian yogurt business.
  • Represented MACOM Technology Solutions Holdings, Inc., a supplier of semiconductor products, in the completion of its acquisition of the radio frequency (RF) business of Wolfspeed, Inc.
  • Advised Cinven in its acquisition of TaxAct for approximately $720 million, and integration of TaxAct into its existing tax advising portfolio companies.
  • Represented a global medical technology company, in numerous transactions, including:
    • in its acquisition of a provider of pharmacy automation solutions; and
    • in its acquisition of a provider of an innovative Radio Frequency ablation technology treatment for chronic venous insufficiency, a disease that is the result of malfunctioning valves and can lead to varicose veins.
  • Advised HP Inc. in its acquisition of Poly Inc., an audio and video devices maker, in an all-cash transaction at a total enterprise value of $3.3 billion.
  • Represented Eversource Energy in its definitive agreement to sell its 50 percent ownership share in two offshore wind projects, South Fork Wind and Revolution Wind, to Global Infrastructure Partners for approximately $1.1 billion in cash, subject to adjustments.
  • Represented Longview Acquisition Corp. II, a special purpose acquisition company sponsored by affiliates of Glenview Capital Management, LLC, in a merger with HeartFlow Holdings that will support HeartFlow’s goal of revolutionizing precision heart care.
  • Advised Cove Hill Partners in the acquisitions of Ungerboeck Systems International and EventBooking.com, two leading software providers of event and venue management tools.
  • Represented American Industrial Partners in its sale of The Cabinetworks Group, the largest independently owned manufacturer and distributor of kitchen and bath cabinets in the United States under the nation's leading brands, including KraftMaid, Medallion, Smart, Merillat, Yorktowne, Echelon, Advanta, Studio Full Access, Master WoodCraft, and Cabinets 2000, to Platinum Equity.
  • Represented Altamont Capital Partners in an agreement to purchase INTERMIX, a highly curated, omni-channel women’s fashion business comprised of 31 boutiques with hyper-localized assortments and a rapidly growing e-commerce channel, from Gap Inc.
  • Advised Altimeter Growth Corp. (Nasdaq: “AGC”) in its plan to take Grab Holdings public in the U.S. Grab is Southeast Asia’s leading superapp. The record-breaking SPAC transaction is expected to be the largest-ever U.S. equity offering by a Southeast Asian Company.
  • Represented affiliates of Advent International Corp. in a definitive agreement to acquire Nielsen Global Connect, a unit of Nielsen Holdings plc. Advent, one of the largest and most experienced global private equity investors, will partner with James “Jim” Peck, former Chief Executive Officer of TransUnion, to acquire Nielsen Global Connect.
  • Advised Change Healthcare in its acquisition of PDX, a leader in providing patient-centric and innovative technologies for pharmacies and health system.
  • Advised eRx Network, a leading provider of comprehensive, innovative, and secure data-driven solutions for pharmacies, and eRx shareholders in the company’s sale to Change Healthcare.
  • Advised Harvest Partners in connection with its acquisition of Lazer Spot, the only national provider of spotting services (rapid and precise movement of empty and full trailers at its customers' distribution centers and manufacturing facilities) and shuttling (on-demand movement of empty or full trailers between customers' sites, distribution facilities, third party rail yards and shipping ports), from Greenbriar Equity Group.
  • Advised a global pharmaceutical company in the acquisition of rights to an investigational gene therapy administered to help preserve vision in patients with geographic atrophy, a late-stage, severe form of age-related macular degeneration.
  • Represented the National Football League in a strategic partnership with Endeavor to operate On Location Experiences, the official hospitality partner of the NFL, and a partner to more than 150 other rights holders, such as the NCAA, the PGA of America and the United States Tennis Association.

Investments

  • Represented Crosspoint Capital Partners as leading investor in a €65 million Series A follow-on funding round for Ireland-based Everseen, a leading provider of AI-powered computer vision and hyper automation solutions.
  • Represented Gauge Capital in connection with its recapitalization in partnership with the founders and management team of Exigo, a Platform as a Service that supports its direct selling customers with a comprehensive point-of-sale, commission management, reporting and customer relationship management platform.
  • Advised Cressey & Company LP in its investment in Trella Health, a leading source of healthcare growth insights and performance analytics data.
  • Advised Bain Capital Tech Opportunities in its $150 million investment in Axtria, a global cloud software and data analytics provider that helps life sciences businesses bring therapeutics to market faster.
  • Advised Audax Private Equity in its investment in Integrate.com, Inc., a leader in B2B Precision Demand Marketing, an emerging category that helps B2B marketers develop omnichannel demand strategies and drive marketing ROI.
  • Advised Kohlberg & Company, a leading private equity firm based in Mount Kisco, New York, in the recapitalization of Trinity Life Sciences, a leader in global life sciences commercialization solutions.
  • Represented Silver Lake, the global leader in technology investing, in its strategic growth investment in GoodRx, a leading source for prescription and healthcare savings.
