Adam’s practice focuses on representing private equity and strategic clients in a wide range of transactional matters, including public and private mergers and acquisitions, leveraged buyouts, and co-investments, and advising private equity sponsors and their portfolio companies on corporate governance and general corporate matters.

  • Represented Charlesbank Capital Partners in:
    • an investment in Mediaocean, a leading software platform serving advertising agencies and brands with a suite of software products for ad campaign management, execution and delivery.
    • its acquisition of EverDriven Technologies, a leading technology-driven platform for safe and reliable student transportation.
    • its acquisition of Accordion Partners, a private equity-focused financial and technology consulting firm.
  • Represents Tecomet, Inc., together with certain of its affiliates, in the refinancing of its approximately $1 billion capital structure, including through the provision of a new revolving credit facility and privately placed first-lien term loan. Tecomet is a global leader in the design, development, and manufacture of orthopedic, robotic assisted, and minimally invasive surgical products, as well as precision components for the aerospace and defense industry.
  • Represented the National Football League in connection with various private equity-related matters, joint ventures and minority investments.
  • Represented New Mountain Capital in its connection with:
    • the $4.1 billion business combination of its portfolio company Cloudmed, a provider of revenue integrity and recovery solutions and revenue cycle management consulting, with R1 RCM (Nasdaq: RCM).
    • its acquisition of Inframark, an infrastructure services company focused on operation and maintenance of water and wastewater systems.
  • Represented THL in:
    • its acquisition of Intelligent Medical Objects, a healthcare data enablement provider, from Warburg Pincus.
    • its connection with the sale of U.S Nursing Corporation and Fastaff Travel Nursing to Cornell Capital and Trilantic North America.
  • Represented CCMP Capital Advisors in:
    • the sale of its portfolio company Eating Recovery Center to funds advised by Apax Partners in partnership with Oak HC/FT.
    • its connection with the merger of its portfolio company The Hillman Group, a leader in the hardware and home improvement industry, with Landcadia Holdings III, a special purpose acquisition company.
