Michelle Vivian is an associate in the Ropes & Gray’s finance group, based in Boston. Michelle represents private equity sponsors and their portfolio companies, as well as public and private companies in a broad range of complex financing transactions, including acquisition financings, leveraged buyouts, recapitalizations, cash-flow and asset-based loans, senior and subordinated credit facilities, preferred equity issuances and high-yield bond offerings.

Prior to joining Ropes & Gray, Michelle worked as an associate in the finance group of another large international law firm, where she primarily represented private equity sponsors, their portfolio companies and corporate borrowers in a wide range of financing transactions.

  • Represented Cove Hill Partners in connection with financing for its acquisition of Kalkomey Holdings, a provider of online recreational safety education and cloud-based agency management solutions.
  • Represented Gauge Capital in connection with financing for its investments in:

  • Advised Galway Holdings, a Harvest Partners portfolio company, in connection with obtaining $3.4 billion of secured credit facilities to refinance its existing debt and to finance the acquisition of MAI Capital Management.
  • Represented Harvest Partners in connection with financing for its acquisition of Road Safety Services, an infrastructure services platform dedicated to enhancing road safety across the United States.
  • Represented Hayward Industries in the $1.475 billion refinancing of its first lien and ABL credit facilities and other incremental facilities.
  • Represented H.I.G. Capital in connection with financing for its acquisition of Time Manufacturing.
  • Represented HMAN Group Holdings, Inc. (now Hillman Solutions Corp., listed on NASDAQ) and its subsidiaries (collectively “Hillman) in $4.17 billion of debt financing commitments in connection with the merger of a subsidiary of Landcadia Holdings III, Inc., a special purpose acquisition company, and redeeming long outstanding trust preferred securities.
  • Represented The Vistria Group in connection with financing for its acquisition of Beacon Specialized Living Services, a provider of residential healthcare services.
  • Represented various clients, including American Industrial Partners, Genstar Capital, Lee Equity Partners and The Jordan Company*, in connection with various senior secured financings and acquisition financings.
  • Represented Cabletica, a Liberty Latin America affiliate, on the financing arrangements in connection with its acquisition of Telefonica’s wireless operations in Costa Rica.
  • Represented Eversource Energy in connection with its joint venture with Orsted AS, the global leader in offshore wind power, to develop deepwater offshore wind farms off the coast of the New England states.
  • Represented Blackstone in connection with financing for its acquisition of The Center for Autism and Related Disorders.*
  • Represented a global hotel chain in connection with financing for its acquisition of another global hotel chain’s franchise and management business.*
