Ropes & Gray represented Becton, Dickinson and Company, BD, in a definitive agreement to acquire Edwards Lifesciences' Critical Care product group, a leader in advanced hemodynamic monitoring solutions, for $4.2 billion in cash. The transaction was announced in a June 3 press release.
The complementary acquisition will expand BD's portfolio of smart connected care solutions with a broad set of hemodynamic monitoring technologies, advanced AI-enabled clinical decision tools and a robust innovation pipeline. BD is one of the largest global medical technology companies in the world, with more than 70,000 employees.
