Ropes & Gray has advised CVC Capital Partners and its portfolio company System C Healthcare (“System C”) on the acquisition of Clevermed, a leading maternity and neonatal patient record software provider.

Clevermed is best known for its fully integrated patient clinical care records, reporting services, patient portal services, and its flagship product, BadgerNet, an end-to-end service supporting all aspects of electronic recording for women and children’s health.

The acquisition was announced on 13 February 2023 and will broaden System C’s product portfolio, enhancing the company’s maternity offering, and supporting its goal to deliver integrated digital solutions that span the entire patient journey from prenatal services to end of life care.

Oxford Computer Consultants

Ropes & Gray has advised CVC Capital Partners and System C on the acquisition of Oxford Computer Consultants (“OCC”), a leading British IT business specialising in integrated contracts and finance solutions for social care within local government, as well as designing and developing customised software for a broad range of organisations.

OCC supplies solutions to the private and public sectors, including local government and the NHS, leading technology companies and departments of the University of Oxford, alongside providing consultancy services to a wide range of industries.

The acquisition was announced on 12 April 2023 and will enable System C to expand its portfolio with OCC’s complementary offering and provide enhanced value to existing customers and local authorities.  

The Ropes & Gray team was led by private equity partners Dan Oates and Angela Becker with support from associates Cormac McGrady and Nicholas Tallon, and trainee Yasmin Anwar. Other members of the team included counsel Dervla Broderick and associate Vincenzo Volpe (antitrust), partner Eve Ellis (asset management), partner Rohan Massey (data), and partner Chris Agnoli, associate Benjamin Wonnacott, and trainee Katie Fielding (tax).
