Rachel O’Brien advises first-time and established private fund sponsors on the formation, marketing and management of private equity, growth equity and venture capital funds, funds-of-funds and other private investment vehicles, with a particular focus on middle-market leveraged buyout funds.

Rachel counsels sponsors of all sizes, and across sectors and strategies, on the legal, operational and regulatory challenges they face in a rapidly evolving market. In addition to advising on tens of billions of dollars of fund formation and fundraising matters, she supports clients on a range of compliance, investor relations, management and governance matters, including upper-tier structuring and restructurings, co-investment programs, carried interest arrangements, and executive separation and termination agreements.
